OVERVIEW

D&L Partners, LLC, dba Board Member Connect (“Board Member Connect”) recognizes that privacy and transparency are important to you. The term “Member” as used herein refers to all individuals and/or entities accessing Board Member Connect for any reason. We strive to provide a safe, secure user experience. This Privacy Statement applies when our Members use our Services (described below), sets forth the online data collection and usage policies and practices that apply to the Board Member Connect Web Site and any Web Sites of Affiliated companies (sometimes referred to as either “Board Member Connect” or the “Board Member Connect Sites”).

Your data will be stored and processed in whole or in part in the United States. The information we gather on the Board Member Connect Sites may be shared within the Board Member Connect-Affiliated companies on a worldwide basis to deliver the products and services we offer. “Affiliated companies” means entities that control, are controlled by or are under common control with D&L Partners, LLC. The information we collect may also be shared with third parties as further described in this Privacy Statement.

The Board Member Connect Sites may contain links to other Web sites over which we have no control. We are not responsible for the privacy policies or practices of other Web sites to which you choose to link from our Sites. We encourage you to review the privacy policies of those other Websites, so you can understand how they collect, use, and share your information.

SERVICES

This Privacy Statement, including our cookie policy, applies to your use of our Services.

This Privacy Statement applies to Board Member Connect, the Board Member Connect Sites, and other Board Member Connect-related sites, communications and services (“Services”), but excludes services that state that they are offered under a different privacy policy.

COLLECTION AND USE OF INFORMATION

In some areas of Board Member Connect, we request or may request that you provide personal information, including your name, address, e-mail address, telephone number, contact information and any other information from which your identity is discernible (referred to herein as “Personal Information”). This Personal Information helps you get the most from our Services, including helping connect Members to one another for economic, social, philanthropic, and professional opportunities. In other areas, we collect or may collect demographic information that is not unique to you, such as your ZIP code, age, preferences, gender, and interests (referred to herein as “Demographic Information”). We use Demographic Information to produce and share aggregated insights that do not identify you. For example, we may use your Demographic Information to analyze statistics about our members, their profession, their geographic location, their industry, or to better focus our Services based on visitor demographics. Examples of areas on the Board Member Connect Sites where we collect Personal Information and/or Demographic Information are pages where you can open a Board Member Connect account, sign up to use a service, post a Profile, or purchase a product or service.

We also gather or may gather certain information about your use of Board Member Connect, such as what areas you visit and what services you access. Moreover, when you visit or leave the Board Member Connect Site(s), we receive information about your computer hardware and software. This information can include, without limitation, the URL address of the site you came from and the one you visit next, your IP address, proxy server, operating system, web browser type and any add-ons, access dates and times, device identifier and features, and/or your ISP or mobile carrier (referred to herein as “Technical Information”).If you use our Services from a mobile device, depending on your device settings we may receive data from that device about your location. We will ask you to opt-in before we use GPS or other tools to identify your precise location. We also collect and aggregate data regarding our registered users (referred to herein as “Aggregated Data”). The Technical Information and Aggregated Data that we collect is not linked to your Personal Information.

We may sometimes provide you the opportunity to provide descriptive, cultural, behavioral, preferential, life style and/or other information (“Other Information”) about yourself, but it is your choice whether you furnish such information. If you do provide such information, you are thereby consenting to the use of that information in accordance with the policies and practices described in this Privacy Statement. For example, such information may be used to determine your potential interest in receiving e-mail or other communications about particular products or services.

If you choose to use our referral service to tell a friend about the Board Member Connect Sites, we will ask you for your friend’s name and email address. We will automatically send your friend a one-time email inviting him or her to visit the Board Member Connect Sites.

OUR USE OF YOUR INFORMATION

We use all the information (including Personal Information, Demographic Information, Technical Information and Other Information) we gather on Board Member Connect to operate and improve the Board Member Connect Sites, fostering a positive user experience, and delivering the products and services that we offer.

We log usage data when you visit the Board Member Connect Sites or otherwise use our Services, such as when you search for, view, or connect with other Members. We use log-ins, cookies, device information, and internet protocol addresses to identify you and log your use.

If you have consented for us to do so, we may also use the information we gather to inform you of other products or services available from us or our Affiliated companies.

We may use your contact information to send you e-mail or other communications regarding updates at the Board Member Connect Sites, to contact you about your opinion of current products and services or potential new products and services that we may offer. We may also provide additional communications, promotions and information which may be of interest to you. The nature and frequency of these messages may vary depending upon the information we have about you.

In addition, you may receive free informational newsletters from us relating to topics that may be of special interest to you.

We have areas on the Board Member Connect Sites where you can submit feedback. Any feedback you submit in these areas becomes our property, and we can use such feedback (such as success stories) for marketing or other purposes or to contact you for further information.

OUR SHARING OF YOUR INFORMATION

We will disclose the information we collect to third parties so that such third parties can send you e-mails or otherwise communicate with you. We use data we have about you (such as the interests and preferences you have expressed) to determine whether you might be interested in the opportunities, products or services of Board Member Connect and/or third parties.

We will disclose information to companies and individuals who perform functions on our behalf. Examples include hosting and maintaining our Web servers, analyzing and auditing data, providing marketing assistance, processing credit card payments, fraud detection, and providing customer service. These companies and individuals will have access to your Personal Information as necessary to perform their functions and they may share that information with any other third party to the extent reasonably necessary to carry out their services

We also allow other Board Member Connect Members, companies that participate in our programs, and other authorized parties to search and view data about you in our searchable Profile database, which information may include all the information you provide to us.

We will disclose the information we collect if legally required to do so, if requested to do so by a governmental entity, or if we believe in good faith that such action is necessary to: (a) conform to legal requirements or comply with legal process; (b) protect our rights or property or our Affiliated companies; (c) investigate, prevent, or take action about suspected crimes or illegal activities or to assist governmental entities in doing the same; (d) protect the personal safety of users or the public; (e) enforce our agreements with you; (f) protect the security of our Sites and/or Services; or (g) investigate and/or defend ourselves against third-party allegations or claims.

We will disclose and transfer the information we collect to a third party who acquires all or a substantial portion of our business, whether such acquisition is by way of merger, consolidation or purchase of all or a substantial portion of our assets. In addition, in the event we become the subject of a bankruptcy proceeding, whether voluntary or involuntary, we or our trustee in bankruptcy may sell, license or otherwise dispose of such information in a transaction approved by the bankruptcy court. You will be notified of sale of all or a substantial portion of our business to a third party via email or through a prominent notice posted on the Board Member Connect Sites.

We also disclose aggregated data about visitors to Board Member Connect (for example, the number of visitors to Board Member Connect) with third parties so that they can understand the kinds of visitors to the Board Member Connect Sites and how those visitors use the Board Member Connect Sites.

We attempt to limit access to our searchable Profile database (or copies thereof) only to other users of Board Member Connect, companies that participate in our programs and other authorized parties, as well as law enforcement and national security agencies, but cannot guarantee that other parties will not gain access to this database. We are not responsible for the use made of Profiles by third parties who access such Profiles.

The portions of your searchable Profile that are made public in your Board Member Connect Profile are accessible to anyone who uses the Board Member Connect service. You may remove your Profile on Board Member Connect or delete your Profile on Board Member Connect at any time, but those who have been provided with access to the Board Member Connect Profile database or the Board Member Connect services, as well as parties who have otherwise gained access, may have retained a copy of your Profile in their own files or databases. We are not responsible for the retention, use or privacy of Profiles in these instances.

POSTING TO PUBLIC AREAS OF BOARD MEMBER CONNECT

Please remember that if you post any information in public areas of Board Member Connect, such as in online forums or chat rooms, or in the Board Member Connect searchable Profile database, such information may be collected and used by others over whom we have no control. We are not responsible for the use made by third parties of information you post or otherwise make available in public areas of Board Member Connect.  

USE OF COOKIES

We use “cookies” to collect data, which helps us personalize and maximize your online experience and time online. A cookie is a small text file that is placed on your device by a Web page server to enable Board Member Connect features and functions. Cookies are not used to run programs or deliver viruses to your computer. Cookies are uniquely assigned to your computer to help us identify it, and can only be read by a Web server in the domain that issued the cookie to you.

One of the primary purposes of cookies is to provide a convenience feature to save you time. The cookie tells the Web server that you have returned to a specific page. For example, if you personalize Board Member Connect pages, or register for services, a cookie helps us to recall your specific information (such as user name, password and preferences). Because of our use of cookies, we can deliver faster and more accurate results and a more personalized site experience. When you return to Board Member Connect, the information you previously provided can be retrieved, so you can easily use the features that you customized. Cookies also secure your access to Board Member Connect Sites and help us identify if someone tries to access your account from a different device. We also use cookies to track click streams and for load balancing.

You may have the ability to accept or decline cookies. Most Web browsers automatically accept cookies, but you can usually modify your browser setting to decline all cookies if you prefer. Alternatively, you may be able to modify your browser setting to notify you each time a cookie is tendered and permit you to accept or decline cookies on an individual basis. Declining cookies may hinder performance, may worsen your user experience by depersonalizing your visit, may prevent your from saving custom settings such as your login information, and may negatively impact your experience on Board Member Connect.

USE OF WEB BEACONS

Board Member Connect Web pages may contain electronic images known as Web beacons (sometimes called single-pixel gifs) that allow us to count users who have visited those pages and to deliver co-branded services. Web beacons do not access your Personal Information; they compile aggregated statistics about our Web site usage. Web beacons collect only a limited set of information including a cookie number, time and date of a page view, and a description of the page on which the Web beacon resides.

You may not decline web beacons; however, they can be rendered ineffective by declining all cookies or modifying your browser setting to notify you each time a cookie is tendered and permit you to accept or decline cookies on an individual basis.

ACCESS TO AND MODIFICATION OF YOUR INFORMATION

You may review, correct, update, delete, or change your Board Member Connect account or profile at any time by editing your Board Member Connect Account Profile. From your Board Member Connect account you may also opt out of receiving newsletters and certain other information from Board Member Connect. Generally, you may opt out of such emails by indicating your preferences on the Board Member Connect Account Profile page, although Board Member Connect reserves the right to send you notices about your account even if you opt out of all voluntary email notifications.

If you opted to receive newsletters, commercial e-mails or other communications from Board Member Connect at the time you created a Board Member Connect account, but subsequently change your mind, you may opt-out by editing your Board Member Connect Account Profile as described above. If you previously opted not to receive such communications, you may later opt-in by editing your Board Member Connect Account Profile as well. To change your Board Member Connect account information, simply go to My Account. To change your Board Member Connect billing account information, simply go to My Account.

We may retain indefinitely all the information we gather about you while your Profile exists to make your use of Board Member Connect more efficient, practical, and relevant. This includes information you or others may have provided to us, and data generated or inferred from your use of our Services. You may delete your Profile from Board Member Connect’s online database and close your Board Member Connect account, in which event we will remove your Board Member Connect Profile and account information, except for an archival copy which is not accessible on the Internet. We will save your Personal Information after you have deleted your profile if reasonably necessary to comply Board Member Connect’s legal obligations (including law enforcement requests), resolve disputes, ensure security, prevent fraud or abuse, meet regulatory requirements, enforce our User Agreement and/or our Privacy Statement, or fulfill your request to “unsubscribe” from further messages from us. We will retain de-personalized profile and account information after your account has been closed.

We will share information about you in accordance with your preferences in effect at the time such information is disclosed or shared by Board Member Connect. If you opt out of sharing your personal information or modify your preferences, such preferences will govern any future disclosure or sharing of information by Board Member Connect, but such preferences will not apply to any previous disclosure or sharing of information in accordance with your previous preferences. When Board Member Connect shares your information with a third party, such third party is contractually obligated to use such information in accordance with the preferences in effect at the time of the disclosure by Board Member Connect, but such third party is not obligated to abide by any subsequent modification of your preferences even if you later opt out of sharing your information.

Before allowing any third party to access your information, Board Member Connect requires such party to enter into an agreement with Board Member Connect which, among other things, requires them to respect your privacy settings and limits their use of your information. However, while we have undertaken contractual steps to restrict possible misuse of such information by third parties, we cannot and do not guarantee that all third parties will abide by such agreements. Please note that Board Member Connect does not screen or approve such third parties and cannot control how they use any personal information that they may obtain through Board Member Connect. Information you have shared with other Members or third parties will remain visible after you close your account or delete that information from your own Profile or mailbox. We cannot control Personal Information or other data that other Members or third parties copy from our Services. Your profile may continue to be displayed in third-party services of others (e.g., search engine results) until they update their data cache. In addition, such third parties may require you to sign up to their own terms of service, privacy policies or other policies, which may give them additional rights or impose additional obligations on you, so please review in detail their terms and policies carefully before using any third-party website or service.

SECURITY OF INFORMATION

We have implemented commercially reasonable technical and organizational measures designed to secure your Personal Information from accidental loss and from unauthorized access, use, alteration or disclosure. However, we cannot warrant the security of any information you send us. Further, we cannot guarantee that unauthorized third parties will never be able to defeat our technological safeguards to obtain, disclose, destroy, or alter your Personal Information, or use your Personal Information for other improper purposes.

CHILDREN

The Board Member Connect Sites are not intended for anyone under 18 years of age. We do not knowingly collect Personal Information from anyone under 18.

CHANGES TO PRIVACY STATEMENT

If we decide to materially change our Privacy Statement for Board Member Connect, we will post those changes through a prominent notice on the web site, or by other means, so that you will always know what information we gather, how we might use that information, and to whom we will disclose it.

Your continued use of the Board Member Connect Sites and/or our Services after we publish notice of any changes to this Privacy Statement means that you acknowledge that the collection, use, and sharing of your Personal Information is subject to the updated Privacy Statement.
